Limited Liability Corporation

This is a type of corporation where owners have a limited liability exposure to any of company’s actions. Personal assets of owners are secured in case of any legal obligations that the corporation might encounter. This is basically a fusion of both partnership and corporation having the characteristics of each.

Let us look on some of its advantages.

•Limited liability – it provides protection for its members in the event of any liabilities incurred by it and they are liable only up to the extent of their investments.
•Exemption from double taxation – This type of business structure avoids double taxation in a way that profits generated by it are divided amongst members and report it on their individual federal tax returns. No federal tax will be paid before distribution of profits to its members.
•LLC is easy to set up and operation is simple compared to a corporation.

How to set up an LLC?

-Create a name for it which must conform to state rules
-Articles of organization must be properly made and payment of filing fee
-Operating agreement must be made comprising the rights and responsibilities of its members
-Secure licenses and permits required in the operation

Corporation

This is a type of business structure wherein it is created by the operation of law, having the rights of succession and the powers, characteristics and properties expressly authorized by law and any incidents to its existence. It has a separate legal entity having a juridical personality separate and distinct from its owners.

It is a complex structure involving a lot of process and paperwork. Management of it is vested on the Board of Directors. It has also the right of succession with the capacity of continued existence regardless of death, insolvency, withdrawal or incapacity of its stockholders and directors.

Forming a corporation can be quite complex and this would include:

-Secure the requirements for incorporating in the state where you will be operating your business.
-Acquire a certificate of incorporation from the secretary of state
Create a name for it.
-Other requirements including selection of the board of directors, stocks to be issued and organizers for the registration of the company.
-Properly filling out certificate of incorporation and payment of filing fees.
-When approved, assemble the first stockholder’s meeting and select officers, by-laws and other important decisions.
-Secure a corporate seal and letterhead.

Incorporation of sole proprietorship

Many small home business starting as sole proprietorship eventually decide to incorporate. However, there are some disadvantages coupled with such incorporation and here are some of those:

Preparation of two tax returns, your personal income and that of the corporation. Preparation of which would mean additional accounting fees to be paid.
•Losses of the corporation cannot be deducted to your personal income, unlike when you are in a sole proprietorship where losses are considered to be an allowable deduction.
•Increased paperwork. More documents are maintained in corporation which would include minutes of the meeting, register of directors, corporate by laws and other documents essential in the operation of it.
•As a corporation, anything earned is taxed. No tax credit is given compared to when you are a sole proprietor you may be subject for tax credit.
•Expensive and complex registration. It involves a lot of serious work since it is a complex legal structure created by operation of law. Legal work, intricate accounting system and tax reporting requirements are also disadvantages.
•Higher income taxes are levied to corporations in some states.

"I walked downstairs a few minutes ago and saw that my
wife was watching a little CNN (helping us stay
up-to-date on the latest world happenings...), and one
of the headlines that jumped out at me was the words:
"Economic Gloom".

This got me thinking...

From my point of view, I see that much of the world is
in a state of PANIC about the economy. There certainly
may be good reason for concern, but too much concern
will also certainly create the reality that you wish to
avoid through the law of attraction.

It is true that what you think about most of the time
shows up in your life. For example, if you're THINKING
about why you can't accomplish some goal of yours,
sure enough all the reasons that you *find* for why you
can't will affect your emotions and therefore the
actions that you will or won't take toward that goal.
Therefore, by thinking *why* you can't, you're making
sure that you don't.

Alternatively, if you use your mind to start finding
reasons why you CAN, you'll start to FEEL differently
and then those new feelings will motivate you to take
NEW ACTIONS and those new actions will create new
results in your results - most likely much closer to
your desired outcome.

In these times of great challenge financially around
the world, NOW MORE THAN EVER it is critical that YOU
tune your mind, feeling and actions into prosperous
frequencies. For many years, I've been reading books,
listening to audio tapes, doing meditations, watching
DVD's and surrounding myself with influences that make
me think smarter, faster, younger, happier, healthier
and wealthier. And little by little, day by day all of
these things have given me an edge in life and allowed
me to achieve more success, happiness and freedom in
my life than I would have ever been able to if I had
simply allow myself to "go with the flow" and allow
society to program me to it's own standards.

Speaking of standards, for many people here in the
United States the standard for success is to go to
college, get a good job, work hard for 40 years and
*hopefully* retire with enough money left in the bank
to pay your medical bills and assisted care living
expenses until you DIE. It's pretty sad.

That's definitely NOT my standard for this life
though. I "retired" a long time ago (without ever
graduating from college) and spend most my time these
being a passionate husband and father as well as
aggressively pursuing interests that light a fire in my
soul!

Today which is Tuesday (while many people were busy
working a job they don't enjoy), I was at my tennis
club at 8:30 am working on my serve, then went to the
ball machine at 10:00, then started my private tennis
lesson at 11:00, followed by an hour long massage at
12:15. Then I got home about 1:30 and made myself a
plate with a tuna sandwich, freshly cooked beets and a
delicious cabbage salad all bought from Whole Foods
Market where the words natural and organic truly means
something. While having lunch my car was being detail
cleaned in the driveway of my home and my gardener was
dropping off fertilizer and plants for this Fall's
planting. While my "team" was helping me keep my car
and home looking great, I jumped on the piano for 30
minutes and started practicing "Carol of the Bells"
which is a song I'll be playing during the holidays
this year for competition and for pleasure. After that,
I spent a little quality time with my wife and kids and
then my kids tutor arrived so I hopped over here to my
office to write you this email. Once I press send, I'm
going to head downstairs and eat a great dinner with
the people I love most in this world.

It seems harmless and innocent enough, but its crippling effects run rampant in the business world.

Entire days are lost, projects sloppily thrown together, and work pushed aside as entrepreneurs become slaves to its hypnotic pull.

It was designed to make life easier and speed up communications, but instead has become the nemesis of the already overextended business owner.

Have you guessed what it is? If you're reading this, there's a good chance you're also a victim of the cursed 'email.'

How many times a day do you check your email? How much time to spend each time you visit?

During a recent mastermind call, a colleague discussed challenges he was having with productivity and event management. As we broke his day into segments, we discovered he was spending 15 minutes of every hour checking email - the majority of which is spam.

Another member then shared the fact that he too had fallen into the email trap and had recently started a stat sheet. In one day alone, he checked his email 21 times! He was trying to curb his habit but was still struggling.

Several more of us chimed in confessing we had "slipped" in our email discipline efforts and were checking it more often than we should be.

Before the call ended we made a pact to check our email no more than twice a day and for a maximum of 10-15 minutes only. We will share our results at our next meeting.

An analogy one of our members shared really helped put things in perspective. Would you as a responsible business owner walk to your mailbox 10-15 times a day to collect bulk mail and advertisements? If not, why would you do it at your computer?

These challenges are not reserved for home business start-ups and amateurs. My mastermind colleagues who were discussing these difficulties are six and seven figure earners. Email infatuation does not discriminate!

My own coach, a multi-millionaire who has built several companies, recently discussed his obsession with email and the impact it was having on his productivity!

It's an ongoing dilemma and all you, I, or any of us can do is be aware of it, keep our activities in check and do whatever it takes to stay the course.

This time I have taken extra steps to remove email from my mind. I open the application between 11:30 and noon and between 4:00 and 4:30 p.m., take care of business then shut it down.

Tim Ferris, author of The 4-Hour Workweek, defines email as, "The greatest single interruption in the modern world" and recommends weaning yourself down to one visit a day. He's actually reached the point where he checks it once a week.

If anyone needs you badly enough they will pick up the phone and call, and if they don't, how important could it really have been?

Are you ready to get a handle on the silent business killer? If discipline is an issue, find an accountability partner or state your intentions to your mastermind group or peers. If you can't do it yourself, have others rally around you.

It takes 26 to 30 days to create a habit. Stick this out - create productive, winning habits and once you've mastered the monster, you'll be on the fast track to business success.

Small businesses must be extra imaginative with their marketing efforts in order to attract customers and get them to open their wallets. Even more challenging is that most entrepreneurs have shallow pockets and shoppers are being more selective as a result of the sluggish economy and volatile stock market. The following are six proven low-cost marketing ideas that help small businesses increase sales and generate referrals, ultimately helping you build your cash cow, while spending very little.

Get Out and Walk
Next time you walk down a street with high foot-traffic, pay attention to storefront windows underutilized. Approach the store owner and offer to pay a small fee to advertise your business in their window. Imagine, you pay $50 per month for a location that costs someone else $2500 a month in rent. This idea also works in reverse. If you’re the store owner with great window visibility, approach other entrepreneurs and offer them an affordable advertising opportunity.

Special Deal Today Only
The next time business is slow, try sending out an email to your prospect list that reads, "Please call me. I have a special deal I can offer you if you call me today. You'll be glad you did! (978) 000-0000. Thanks, Sharron." This method really works. Prospects call because of the urgency you create using such a short deadline and to make sure they don’t miss out on a worthy opportunity. Be careful. You’ll lose credibility with your prospects if your offer isn’t aggressive enough, i.e., 10% off won’t cut it!

Under Your Nose
Are your vendors doing business with you? Why not? Here’s a short list of the prospects you should contact within 48 hours of reading this article, your: accountant, attorney, plumber, electrician, daycare provider, housekeeper, greens keeper, mechanic, realtor, friends, family, minister/priest/rabbi, etc., dentist, physician, gynecologist, nail technician, hairdresser, Mary Kay Consultant, marriage counselor, coach, personal trainer, financial advisor, etc. If you and your vendor are not a match, he or she probably knows someone who should be doing business with you. All you have to do is ask your vendor to provide some word-of-mouth about you. At minimum, ask to display your business cards and flyers at their office, or to mention your business in their customer newsletter. Take a moment and make sure people in your immediate circle understand what you’re selling.

Customers on the Fence
Before you send off your next proposal, call your prospect and tell her the proposal she requested is ready. Tell her you'd like to forward the proposal, but before you do, ask her what time tomorrow would be convenient to discuss the proposal. Remember, always set up your next appointment before releasing any information.

Charge at Least Five Bucks
Always charge a fee for all your event marketing efforts. Fee-paid seminars and workshops almost always generate more participants than free events. The fee does two things. First, when you charge for something, there’s an implied "value" built in. Your prospect will believe they "get more" when they pay, versus not paying. Second, when a prospect pays you, they’re showing a commitment and are now a more qualified prospect and more likely to show up. Don’t just take my word for it; test it. It’s true.

Stimulate Customer Senses
Do you think the smell of fresh baking bread flowing throughout the grocery store or music playing is by chance? Absolutely not. Retail businesses have been going out of their way for years to stimulate shoppers and keep them browsing. Stimulating the senses works outside of bricks and mortars too. For example, let’s say you're a business development expert and you're getting ready to mail your quarterly newsletter on white stock. Instead, try a red or pink-hued paper. Or, if you’d prefer to remain conservative, use a white textured stock. Another example: There's nothing worse than the smell of a disinfectant used in a doctor's office. Try burning vanilla candles in the waiting room, they’ll help sooth your customers while they wait. If your business is notorious for long waiting room times, fresh baked cookies work well.

Remember, the more comfortable we keep our customers, the longer they’ll stay, the more memorable experience they’ll have and the more they’ll spend, or pass on positive word-of-mouth. When you’re planning your next marketing activity, remember to stimulate your customers’ senses, including eyes, ears, nose and mouth.

From time to time I'll get an email from a person saying, "I've submitted several articles and I'm still not seeing results."

My first questions to them are always–

* What type of results are you looking for?

* What is your means of measuring your results?

* How long have you been article marketing and how many articles a month have you been submitting?

Sometimes the person's answer is,

"I don't think I'm getting any results because I haven't had very much of an increase in sales on my website, which is why I'm doing article marketing. I submitted 5 articles the first month, then I got busy the second month and didn't submit any, and this month (my third month) I've submitted a couple."

At this point I'm wishing that I had the ability to turn back the hands of time so that I could tell this person some very helpful tips before she started that would have eased her mind, helped her measure her results more accurately, and increased her success rate.

For anyone who has just stared doing article marketing, or is on the verge of starting, or who is considering starting, I've got 5 tips for you that will make your life easier.

Oh, and even if you've been submitting articles for a while now and didn't have these tips when you started–it is never to late to do these! :-)

1) Have a realistic time frame for results.

Although a article marketing can produce dramatic results right away for some folks (for example if your article gets picked up by a major ezine and sent out to tons of folks), it is generally a long term marketing strategy that usually does not show significant results for several months.

The reason for this is that Google and the other search engines don't update your rankings on a daily or even a monthly basis–usually their cycles run every 3 or 4 months where they will re-establish the ranking of a website based on incoming links.

So, when you start article marketing, you may see a dramatic result right from the start if one of your articles gets picked up by a major ezine or something, but please do not expect to see immediate drastic results. Commit to doing your article marketing consistently over the long term, and know that it will likely take 4 months or so to see a noticeable impact.

2) Make a note of your traffic baseline.

Writing things down helps soooo much. It's easy to say after the fact, "Well, I think I remember my traffic being higher than this previously" but if you aren't conscientiously tracking things your memory may be a bit foggy.

There are stats programs out there to help us track traffic–use one of them! Then, create a spreadsheet where you insert your monthly traffic results. Or, if your traffic tracking program generates monthly reports, use those, but please don't look at your stats and try to go off of memory for a few months back. We want concrete data!

For the last completed month, jot down what your traffic was. This is your traffic baseline.

3) Check how many backlinks you have before you start your article marketing campaign.

Google has a cool way of checking your backlinks. Just type this into the search box: link:http://yourwebsite.com (you would substitute the URL of your website after the "link:" part).

After pressing the "search" button, you should see a list of results that indicate the websites that are linking to your site. In the upper right area of the page, you can see the number of sites that are linking to your site.

In your notebook or spreadsheet, or whatever you're using to keep track of all this information, jot down the number of your website's backlinks. This is your baseline for your backlinks.

4) Check your ranking for your keywords.

This sounds like it might be technical, but it's not! It's soooo easy–just type your keyword or keyword phrase in the Google search box.

Where does your site come up in the results pages?

Are you at #5, #25, #357 or something else?

Whatever your ranking is, jot down that number. This is your keywords baseline. Repeat this process for all your keyword phrases and make a note of your rankings.

Oh, and what if you can't find your website in the results listings?

Don't fret!

Everyone has to start somewhere, and remember that even the #1 site on the search results pages at one time wasn't visible ranked at all! You are just starting out–you don't have ranking yet or perhaps you're so low on the ranking that you're not even listed.

This is fine–you're starting to market your website at least–just make a note saying that you're unranked. You're about to change that! :-)

5) Check your PageRank (click that link if you're not sure what PageRank is).

It also isn't hard to check what your website's PageRank is–just install the free Google Tool Bar found at http://www.toolbar.google.com

When you install that tool bar, you'll be able to see what your web page's PageRank is by looking at the PageRank bar (it will turn green when your web page has PageRank). Hover your cursor over the PageRank bar and you'll see a message similar to this:

"PageRank is Google's view of the importance of this page (5/10)".

In this example, the web page has a PageRank of 5– when they say 5/10, they mean that it has a PageRank of 5 out of a possible 10. Zero is the lowest and 10 is the highest. (We are all aiming for a 10, but it will take a while to achieve that!)

So, look up your PageRank and jot that number down in your stats tracking journal. This is your PageRank baseline.

If your web page doesn't have PageRank yet the bar will be clear, and the message will say "No PageRank information available"

If that's the case, no worries. This probably means that your site is brand spankin' new, and you're doing a great thing by starting an article marketing campaign!

Diversifying Your Eggs

As you can see, there are several ways that you can measure results when you start your article marketing campaign–if you become super focused on any one aspect to the exclusion of the others you will end up with a distorted view of your results, and you'll get an "all eggs in one basket" effect.

When measuring our online marketing results we want to diversify our eggs–have several avenues for measuring results. Why?

Well, search engines are in a constant state of flux, so one area may be going great while another area is at a momentary stand still or has even taken a few steps back.

Just to give you an idea of what you can expect as you're trying to build traffic and links to your website (and this is true whether you're using article marketing or some other marketing tool):

A Day In The Life Of A Website Owner

You check your stats and notice that your PageRank has increased (yay :-) ).

Then on the same day you notice that you've moved down a couple notches in the search results for one of your keyword terms (boo :-( ).

But your traffic has increased (yay :-) ).

Oh, but there is not a noticeable difference in the amount of sales you're making on your site (boo :-( )

Now, you can see that if you were only looking at one of these stats that you wouldn't be getting the whole picture. This is why I measure several areas, because you won't necessarily be seeing results for each of these areas at the same time.

I always advise people that when you're starting your article marketing campaign to commit to it for at least 4 months. Submit your articles on a regular schedule, be consistent month after month after month.

Check your stats each month if you like, or just check them again at the end of 4 months. I do check my stats every month, but I don't expect to see results for several months when I'm starting a new article marketing campaign.

by the way - will get your ten messages over time and
be prompted to return and buy.

This is TRUE marketing automation.

If you aren't doing this now, you ARE losing money.

IF you want a site that is always fresh and new (which
the search engines love) and don't want to spend hours
creating new content, then you need to know about RSS.

RSS is simply a way to display content from other sites
on your site automatically.

My suggestion is to find a good book or article on RSS
and learn more if you think that showing fresh content
on your site is important.
